Terms and Conditions of PROKODA GmbH for Training Courses and Room Hire
Registration
All training course registrations must be submitted in writing and will be processed in the order in which they are received, as participant numbers are limited in the interests of ensuring a successful course. Registrations made by telephone must be confirmed in writing before the start of the course.
Confirmation
Each course registration will be confirmed promptly in writing. The registration becomes binding only upon receipt of this confirmation.
Rebooking
Changes to bookings are free of charge provided they are made more than 10 working days before the start of the course.
For re-bookings made up to 5 working days before the course begins, an administrative fee of 25% of the course fee will be charged.
For changes to the booking made 4 working days or less before the course starts, an administrative fee of 50% of the course fee will be charged.
PROKODA GmbH expressly reserves the right to claim higher costs where applicable.
In the event of a rebooking, any difference between the original course fee and a higher course fee applicable at the time of rebooking (current daily course price) must be paid. No refund will be made where a rebooking is made to a course with a lower fee.
Cancellations
Cancellations must be submitted in writing no later than 10 working days before the start of the course.
For cancellations made up to 5 working days before the course begins, an administrative fee of 50% of the course fee will be charged.
For cancellations made 4 working days or less before the course starts, the full course fee will be charged.
Substitute participants may, of course, attend in place of the original participant.
PROKODA GmbH expressly reserves the right to claim higher costs where applicable.
PROKODA GmbH reserves the right to cancel, shorten or postpone training courses up to 10 days before the scheduled start date.
Cancellations of Room Hire Bookings
Room hire bookings may be cancelled free of charge up to 21 calendar days before the booked date.
For cancellations made up to 17 calendar days before the booked date, 50% of the agreed fee will be charged.
For cancellations received by PROKODA GmbH 16 calendar days or fewer before the booked date, 100% of the agreed fee will be charged.
Should PROKODA GmbH be required to cancel a room booking for an important reason, any fee already paid will be refunded. Any further claims are excluded.
Course Fees
Course fees are charged per participant.
The prices stated in the current training programme apply, plus VAT at the applicable rate.
Fees become due upon invoicing and must be paid in full without deduction.
Discounts
Discounts (such as early booking discounts, last-minute prices, remaining-seat discounts, or agreed special discounts under framework agreements/contracts) cannot be combined.
Services Included in Open Training Courses
The following are included in the course fees:
The hardware and/or software required for the training will be provided for the duration of the course.
The content specified in the course description will be delivered by qualified instructors and, where applicable, appropriately authorised trainers.
Original training materials become the property of the participant after the course.
Each participant will receive a certificate of attendance at the end of the course.
Cold and hot refreshments during morning and afternoon breaks, as well as lunch.
Course Times
Courses commence at 9:00 a.m. on the first day.
On all subsequent days, start times will be agreed within the course.
User training courses end at 4:00 p.m., while technical courses end at 5:00 p.m.
Any changes will be communicated in good time.
Liability
PROKODA GmbH accepts no liability for damage caused by its legal representatives, agents or employees, except in cases of wilful misconduct or gross negligence.
If a course or test cannot take place due to the trainer's illness, insufficient participant numbers, other reasons beyond the control of PROKODA GmbH, or force majeure, there shall be no entitlement to the delivery of the course or test.
In such cases, PROKODA GmbH shall not be liable for reimbursement of travel expenses, hotel costs, or compensation for loss of working time.
Copyright
Unless otherwise stated, all rights, including rights of translation, reprinting and reproduction of the training materials or parts thereof, are reserved.
No part of the training materials may be processed, reproduced, distributed or used for public presentation in any form (including photocopying, microfilm or any other method), including for the purpose of creating one's own training materials, particularly through the use of electronic systems, without the prior written permission of PROKODA GmbH or the relevant manufacturers.
Software provided during the training may not be removed, copied (in whole or in part), altered or deleted.
PROKODA GmbH reserves the right to claim damages in the event of any breach of these provisions.
Data Protection
Where a customer falls within the scope of protection afforded by the German Federal Data Protection Act (Bundesdatenschutzgesetz), the customer agrees to the processing of their data for internal purposes.
Only such personal data as is necessary for the performance of the contract will be processed in accordance with the provisions of the German Federal Data Protection Act.
Jurisdiction
To the extent permitted by law, the place of jurisdiction for all disputes arising out of or in connection with an order placed with PROKODA GmbH shall be the respective registered place of business of PROKODA GmbH.
Written Form Requirement
Any amendments, additions to, or cancellations of these Terms and Conditions must be made in writing in order to be valid.
Final Provisions
Should any of the above provisions be or become invalid, this shall not affect the validity of the remaining provisions.
The invalid provision shall be replaced by a valid provision that comes as close as possible to achieving the intended purpose.
In addition, our General Terms and Conditions shall apply.
